For high-stakes relationships involving enterprise clients, significant IP, or international parties, we recommend attorney review of the final document. For the typical freelance engagement, our generated NDAs provide genuine, court-tested protection at a fraction of the cost of a per-document retainer.
NDAs generated by Sealwax include all the structural elements required for enforceability in US courts: clear party identification, defined confidential information scope, duration, remedies clause, and governing law. The most common reasons NDAs fail in court are vague scope definitions and missing enforcement language. Both are handled explicitly in our generation process. We cannot guarantee any legal outcome, but our structure follows the same framework used by attorneys in independent contractor agreements nationwide.
You select which state's laws govern the agreement. Typically this is your state of residence or where you primarily do business. The governing-law and venue clauses are written to hold even when the other party is located elsewhere, which is the standard approach for remote freelance work. If both parties agree on a different governing state, you can specify that instead.
