Is this a substitute for an attorney?

Sealwax generates documents based on established legal templates that have been reviewed by attorneys. It does not create an attorney-client relationship and is not legal advice. For high-stakes relationships involving enterprise clients, significant IP, or international parties, we recommend attorney review of the final document. For the typical freelance engagement, our generated NDAs provide genuine, court-tested protection at a fraction of the cost of a per-document retainer.

Do these NDAs actually hold up in court?

NDAs generated by Sealwax include all the structural elements required for enforceability in US courts: clear party identification, defined confidential information scope, duration, remedies clause, and governing law. The most common reasons NDAs fail in court are vague scope definitions and missing enforcement language. Both are handled explicitly in our generation process. We cannot guarantee any legal outcome, but our structure follows the same framework used by attorneys in independent contractor agreements nationwide.

What if my client is in a different state?

You select which state's laws govern the agreement. Typically this is your state of residence or where you primarily do business. The governing-law and venue clauses are written to hold even when the other party is located elsewhere, which is the standard approach for remote freelance work. If both parties agree on a different governing state, you can specify that instead.

Can I edit the NDA after it is generated?

We recommend minimal edits to preserve the document's structural integrity, but you can add project-specific details, adjust timelines, or remove clauses that do not apply to your engagement.

What does the plain-English summary look like?

The companion summary is a one-page document that translates each clause into a "what this means for you" format, written at a level your client can read in under three minutes. It is delivered alongside the formal NDA, not as a replacement for it. Most freelancers send both together: the summary gets the client comfortable, the formal document is what gets signed.

Does this work for international clients?

Sealwax is built for US-governed agreements. If your client is based outside the US and you want their country's laws to govern, we recommend consulting an international IP attorney. If your client is international but you prefer US law to govern the relationship (which is common in remote freelance), our standard US-state governed NDAs work well. The governing-law clause makes the jurisdiction explicit and courts in most countries will recognize it.
